GENERAL TERMS AND CONDITIONS OF SALE

1. Prevalence of Conditions

The customer expressly waives its own general terms and conditions of purchase, even if they were drafted after these terms and conditions of sale. Any exception to this document shall be valid only if agreed upon in advance in writing and by mutual consent.

2. Payment Terms and Late Payments

Our invoices are due within 21 calendar days, unless a different payment term is specified on the invoice or in the order.

  • Interest: In the event of non-payment by the due date, Synergia reserves the right to charge a fixed late payment interest rate of 10% on the outstanding balance.
  • Suspension of service: Synergia reserves the right to suspend any services without prior notice in the event of a delay in payment.

3. Debt Collection

If a payment remains outstanding for more than sixty (60) days after its due date, Synergia reserves the right to refer the case to a debt collection agency. All legal and administrative costs arising from this process will be borne by the customer.

4. Withholding Taxes and International Taxes

In accordance with local laws, some countries may withhold taxes at source.

  • These withholdings must be settled by the customer with the appropriate tax authorities.
  • Under no circumstances will Synergia bear any costs related to the tax laws of the client's country.
  • The total amount of the invoice must be paid in full to Synergia, without any deductions for local taxes or cross-border fees.

5. Responsibilities and Obligations

Synergia is committed to using its best resources to provide high-quality services within the agreed-upon timeframes.

  • Obligation of Means: Our obligations are considered to be obligations of "means" rather than "results."
  • Disclaimer: Synergia shall not be held liable as a third party in claims for damages brought by end consumers against the client.

6. Complaints

To be considered valid, any claim must be submitted to Synergia by certified mail to our registered office within a maximum of 8 calendar days following delivery of the goods or provision of the service.

7. Jurisdiction and Governing Law

All of our contractual relationships are governed exclusively by the laws of Switzerland.
